Practice

Jason practices in the areas of equipment leasing and financing, banking and financial institutions, business transactions, bankruptcy, workouts, debtor and creditor rights, health care and litigation.

Jason represents equipment lessors, equipment users, and financial institutions in various equipment financing and leasing transactions, including the purchase and sale of lease portfolios, negotiating the terms of master lease agreements and master purchase and sale agreements, and the recovery of equipment in default situations.

Jason represents borrowers and lenders in connection with negotiating the terms of commitment letters, conducting due diligence, and memorializing loan documentation.

Jason represents businesses in connection with general corporate matters including negotiating the terms of non-disclosure agreements, entity structures, buy-sell agreements, and stock purchase and sale agreements.

Jason's additional experience includes representing debtors, creditors, and trustees in various bankruptcy and workout related matters, physician groups in connection with general corporate matters, and plaintiffs and defendants in various commercial litigation matters.

Previously, Jason was an associate for a Utica-based law firm.


Recent Experience

  • Negotiated the terms of a Master Equipment Lease Assignment and Assumption Agreement;
  • Successfully defended physician in an action for an alleged breach of a Non-Competition and Non-Solicitation Agreement;
  • Negotiated the sale of a substantial portion of a national equipment leasing company's lease portfolio;
  • Represented equipment lessor in connection with the recovery and remarketing of leased equipment from bankrupt lessee;
